IMPORTANT — PROFESSIONAL ADVICE DISCLAIMER Clarius generates sustainability reporting outputs to assist your organisation's compliance with AASB S2 and the Australian Sustainability Reporting Standards (ASRS). These outputs — including gap analyses, materiality assessments, scenario analyses, emissions calculations, and draft reports — are provided as tools to support your compliance workflow. They do not constitute legal, financial, regulatory, or professional advice. All outputs require human review and approval before use. Directors signing declarations under the Corporations Act 2001 (s296A(6), as modified by s1707C) remain personally responsible for the accuracy and completeness of those declarations. Clarius is not a registered legal practitioner, financial adviser, auditor, or assurance provider.

1. Acceptance of Terms

By accessing or using the Clarius platform at clariusonline.com ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Clarius provides an agentic AI-powered compliance workflow platform designed to assist Australian entities with obligations under the Australian Sustainability Reporting Standards (ASRS) and AASB S2 Climate-related Disclosures. The Platform automates preparation of sustainability reporting outputs across nine workflow gates, from gap analysis through ASIC lodgement, with human approval required at each gate.

Access to the Platform requires registration by invitation. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use at hello@clariusonline.com.

Our collection and use of your data is governed by our Privacy Policy and Data Use Policy, which form part of these Terms.

7. Intellectual Property

The Platform, including all software, design, content, and AI models, is owned by Clarius Online Pty Ltd and is protected by applicable intellectual property laws. You retain ownership of all data and content you upload to the Platform ("Customer Data").

8. Limitation of Liability

To the maximum extent permitted by law, Clarius Online Pty Ltd and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to losses arising from reliance on AI-generated outputs, regulatory non-compliance, or failed lodgements. Our total liability for any claim arising under these Terms shall not exceed the fees paid by you in the twelve months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law.

9. Indemnification

You agree to indemnify and hold harmless Clarius Online Pty Ltd from any claims, losses, or damages (including legal costs) arising from your use of the Platform, your breach of these Terms, or your submission of false or misleading information in any regulatory filing.

10. Termination

We may suspend or terminate your access to the Platform at any time if you breach these Terms or if we reasonably believe your use poses a legal or reputational risk. You may terminate your account at any time by contacting us. Upon termination, your right to access the Platform ceases and we will handle your Customer Data in accordance with our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be notified by email or via the Platform. Continued use of the Platform after notification constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
